Anthropic Pledges 5% of Shares to Public Benefit Fund

Anthropic will commit 5% of its shares to a new public benefit fund, with more added as its value grows. The stake could be worth billions ahead of an IPO.

Anthropic, the company behind the Claude AI assistant, says it will commit 5% of its shares to a new public benefit fund. The move, announced on October 18, 2026, could direct billions of dollars in equity toward social good as the company prepares for what could be one of the largest IPOs ever.

What Anthropic announced

Anthropic said on Sunday that it will commit 5% of its shares to a new Anthropic Public Benefit Fund. The plan is subject to stockholder approval, meaning shareholders still need to vote it through. The fund is a new wholly-owned entity within the company, and Anthropic says it will give it "increased flexibility and scale" to support projects for the good of society.

How the fund works

The stake can grow as the company grows. Anthropic's board has the option to add another 2% of shares for every 50% increase in the company's value above a set baseline, though that baseline has not been disclosed. Anthropic framed this as a contrast with normal tech industry pay practices: "It is common practice for tech companies to offer escalating compensation awards to their executives. We are instead directing that equity to the public benefit." The fund is structured as a wholly owned LLC rather than a 501(c)(3) charity, a choice Anthropic says gives it "adjustability between different forms of giving." It could make large donations to traditional nonprofits or direct payments to specific groups of people. Anthropic stressed that none of the equity will be used for lobbying or political giving, in the United States or anywhere else.

Who decides where the money goes

That is still an open question. Anthropic said it will share more details about the fund's structure and governance in the coming months. So far there is no published list of beneficiaries, spending rules, or governance body. The new fund sits alongside earlier commitments: Anthropic's co-founders have pledged to donate 80% of their equity, and about half of its employees take part in an equity donation match program. Combined, roughly 20% of the company's shares would be dedicated to the public good.

Why it matters

The timing is hard to miss. Anthropic is heading toward an IPO that could raise as much as $100 billion at a valuation of around $2 trillion, according to the Wall Street Journal. A $65 billion round in May valued the company at $965 billion, which would put the pledged 5% stake at roughly $48 billion on its own. The move also follows a year in which public trust in AI companies has been shaky. Anthropic CEO Dario Amodei has described the industry's problem as "fundamentally a crisis of trust." The company has already committed $200 million to studying and addressing AI's impact on the labor market, saying that "given the pace of AI progress, bolder approaches may be needed." Anthropic is not the first AI lab to tie its structure to a public mission. About a year ago, OpenAI restructured so that its nonprofit parent held a 26% equity stake in the for-profit business. Anthropic's approach is different: instead of handing equity to a nonprofit, it is keeping a dedicated pool inside the company itself.
