SK Hynix Shelves $150B Solidigm US IPO

SK Hynix shelved a $150B US listing of chip unit Solidigm, blaming volatile markets as chip stocks slid. Seoul regulators and shareholders also weighed in.

SK Hynix has put on hold a planned US listing of its Solidigm chip unit, a deal that could have valued the business at up to $150 billion. The Korean chipmaker said on Friday that volatile markets and sliding semiconductor shares forced the pause, days after chip stocks suffered their steepest weekly fall since June.

The $150 billion plan is off the table

Korea Economic Daily first reported the decision on Friday. SK Hynix then confirmed it had halted its review of pre-IPO fundraising and IPO options for Solidigm, its NAND flash memory and solid-state drive subsidiary. In a statement the company said "financial market volatility has increased, contributing to a broader correction in semiconductor stocks," adding that "Solidigm has decided to discontinue its review of potential pre-IPO and IPO options." Solidigm was created in the United States after SK Hynix bought Intel's NAND flash memory business for $9 billion. The listing would have been the largest semiconductor IPO in US history, with people familiar with the plans saying the share sale could have raised as much as $15 billion. Goldman Sachs and Morgan Stanley had been tapped to lead the offering alongside a pre-IPO funding round.

Three pressures that killed the timing

First, the market rout. SK Hynix shares have fallen about 30 percent since the end of September to near six-month lows, including a drop of around 5.5 percent on Thursday alone. Chip stocks slid on renewed fears about the sustainability of AI spending, and Solidigm's SSD chips ride directly on the AI data center boom. Second, angry shareholders. Investors worried that a separate US listing would dilute SK Hynix's economic interest in the business and deepen the "holding company discount," where a parent company's stock trades below the value of its underlying assets. Solidigm already sits at the bottom of a chain of listed SK group companies, and the IPO debate weighed on sentiment for weeks. Third, Seoul regulators. The Financial Supervisory Service governor said earlier this week that both his agency and the Financial Services Commission viewed Solidigm as subject to restrictions on duplicate listings. SK Hynix said these rules were not the direct reason for its decision. A company official said: "Our assessment of the economic benefits of an IPO and the need to support Solidigm's growth has not changed. The decision was made from the perspective of shareholder value, taking current market conditions into account."

Why the Washington angle mattered

The listing was meant to help fund a new US factory and meet surging demand for chips in AI data centers. It could also have funded share cancellations and buybacks, SK Hynix said in a statement. It is not clear how the move will be received by the US administration, which has been pressing foreign chipmakers to build new facilities in the United States. People familiar with the matter said SK Hynix had sought to use the prospect of a US factory as a bargaining chip, linking it to hoped-for approval from Washington that would let US chipmaking equipment be exported to China to increase production there. SK Hynix became dual-listed with a Nasdaq debut in July.

What comes next

SK Hynix stressed that the decision does not reflect any change in Solidigm's growth prospects or investment needs. It plans to keep exploring ways to fund the unit's expansion and boost shareholder value, including reviewing the timing, scale, and financing of future investments. Investors will get a fuller picture soon: SK Hynix reports third-quarter results on October 28.
